We are seeking an experienced Director of Corporate Governance to join our team. This role will report to the General Counsel and be instrumental in managing our complex energy contracts portfolio and maintaining robust corporate governance practices. The position requires a detail-oriented professional with strong analytical skills and experience in energy contract administration.
Qualified applicants in Houston, San Antonio, or Austin, TX are preferred. The company will consider remote applicants within the United States.
Key Responsibilities:
- Lead corporate governance programs and procedures, including oversight of board/committee operations, entity management and compliance, policy development, regulatory filings, risk frameworks, and stakeholder communications; ensure proper maintenance of corporate records, authorization matrices, and governance documentation while supporting material transactions and integration activities in accordance with applicable laws, regulations, and industry best practices
- Review and redline all legally binding contracts and agreements including but not limited to MIPAs, APAs, SPAs, LLCs, NDAs, Parental Guarantees, MSAs, vendor contracts, equipment supply agreements, real estate leases, REC, settlement agreements, joint venture agreements, and various other offtake agreements
- Collaborate with cross-functional teams including Business Development, IT, Marketing, Operations, Credit, and Accounting, to manage and prioritize contract activities with accuracy
- Identify and mitigate business and legal risks in prospective and existing contracts
- Manage and ensure compliance with various state and federal corporate registration requirements, including initial and annual domestic and foreign Secretary of State filings, as well as adherence to the Federal Corporate Transparency Act
- Record land documents and other project-related filings with the appropriate Registries of Deeds, Public Utility Commissions and other energy-related authorities
- Maintain and manage corporate entity databases, tracking annual filings, fee payments, expirations, renewals, terminations, and other key data
- Assist Legal team with documentation needs for legal holds, investigations, and discovery
You Bring:
- Bachelor's degree in applied science, business administration, marketing, accounting, finance, economics, pre-law or a similar field is preferred
- 5-7 years of proven experience in corporate compliance, paralegal or similar field
- 5 years of solar energy experience at a commercial & industrial or community solar developer is preferred
- Experience working with contracts, corporate documents, Secretary of State filings and registered agents across multiple jurisdictions
- Relevant experience with energy transactional documents (Development, M&A, C&I Retail, or comparable complex contracts related to energy)
- Proficiency in Microsoft Office Suite
- Experience with contract management SaaS platforms
- Authorization as a Notary Public
- Demonstrated integrity and commitment to maintaining confidentiality
- Exceptional verbal, written, and interpersonal communication skills with a strong understanding of legal terminology and ability to meet strict, non-flexible deadlines in time-sensitive environments
- Strong analytical and organizational skills, with a commitment to responsiveness and follow-through on programs and plans
